Understanding quorum requirements

Quorum is the minimum number of members who must be present (in person or by proxy) for the meeting's votes and decisions to be legally valid. Here's what every board member should know.

What counts toward quorum

Members who attend in person, those who join virtually (if your bylaws allow it), and valid proxy submissions all count toward quorum. Each lot or unit typically gets one vote, regardless of how many people live there.

Common quorum thresholds

Most HOA governing documents set quorum at 25% to 50% of total members. Some states have statutory defaults (often 10-33%) that apply if your CC&Rs are silent. Adjourned meetings sometimes have reduced quorum requirements — check your bylaws.

What happens without quorum

Without quorum, no official votes can be taken and no binding decisions can be made. The board can present information and hold discussions, but elections, budget approvals, and bylaw amendments must wait until quorum is achieved.

The number one reason HOA meetings fail is lack of quorum. Start collecting proxies 2-3 weeks before the meeting. Send proxy forms with the meeting notice, offer online proxy submission, and follow up with homeowners who haven't responded.
